In consideration of the acceptance and fulfillment by Ruland Manufacturing Co., Inc. (“Ruland”) of currently pending orders and all future orders of you the “Customer”, Ruland and Customer hereby agree that the Warranty / Disclaimer of Implied Warranties / Limitations of Liability / Return Policy set forth below (“Ruland Terms & Conditions”) shall apply to all products sold to Customer from and after the date hereof notwithstanding any conflicting or contrary language or provisions set forth in any prior, current or future purchase orders, correspondence, documents or other materials provided by Customer to Ruland (“Customer Documents”). Customer specifically acknowledges and agrees that any terms or provisions set forth in any Customer Documents and relating to the matters addressed in the Ruland Terms & Conditions shall be of no force or effect (whether provided prior to, on or after the date hereof) and that the Ruland Terms and Conditions shall control over and supersede any contrary language in any Customer Documents. No other terms and conditions apply. The Ruland Terms & Conditions shall continue to be in force and apply to any current and future orders of Customer, unless modified in a writing signed by authorized representatives of Ruland and the Customer.

Warranty
EXPRESS WARRANTY - Ruland expressly warrants that products sold here meet Ruland’s size and materials specifications as set forth on its website at http://www.ruland.com/warranty. Products not meeting Ruland’s size and material specifications or containing defective parts or labor will, at Ruland’s option, be replaced, or the purchase price will be refunded, upon purchaser’s written request made within 12 months following sale. The remedy of refund or replacement is the sole and exclusive remedy provided. This warranty does not cover damage caused by installation, accident, incorrect handling, improper use, or normal wear and tear.
Disclaimer of Implied Warranties. THE WARRANTY PRINTED ABOVE IS THE ONLY APPLICABLE WARRANTY TO THESE PRODUCTS. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. It is the responsibility of the user to determine the suitability of Ruland products for a specific application. No person, including employees of Ruland or agents in the company’s channels of distribution are authorized to represent on Ruland’s behalf, the suitability of Ruland products for a specific purpose.
Limitation of Liability. IF SELLER IS LIABLE FOR ANY CLAIMS – WHETHER BASED ON A STATUTE, CONTRACT, WARRANTY, OR TORT (FOR DAMAGE TO PROPERTY) IT IS UNDERSTOOD AND AGREED THAT SELLER’S LIABILITY SHALL NOT EXCEED THE AMOUNT OF THE PURCHASE PRICE. SELLER SHALL NOT BE LIABLE FOR SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, LOST PROFITS, INDEMNITY, OR ATTORNEYS’ FEES. THE PRICE STATED FOR THE PRODUCT IS A CONSIDERATION IN LIMITING RULAND’S LIABILITY.
Return Policy
Parts to be returned for credit must be in original condition and in the original packaging. Only standard price list items can be returned. Parts not meeting the above requirements may be subject to a rework fee or returned and no credit will be issued. Non-standard or special order parts are non-returnable.
A valid invoice number is required in order to receive full credit, otherwise we will only issue credit for the amount of current price less a 50% restocking fee for standard items.

Agreement
1. If approved for credit, all invoices are to be paid 30 days from the date of the invoice.
2. By submitting this application, you authorize inquiries into the banking and business/trade references that you have supplied.
3. You are agreeing to Ruland Manufacturing’s terms and conditions.
4. You certify that you have the authority as an agent of the Customer to enter into this agreement.
